Terms of Service

1. Acceptance of Terms

By accessing the website, application, or any service operated under the Performax brand (hereinafter the "Service"), you agree to be bound by these Terms of Service (hereinafter the "Terms"). If you do not accept these Terms, you must not use the Service.

Use of the Service constitutes full and unconditional acceptance of these Terms. We recommend that you read them carefully before any use.

2. Description of the Service

Performax is a trading journal and performance analytics platform. The Service enables you to, among other things:

  • •Record and track trading operations (manually or via synchronization with third-party exchange platforms)
  • •View statistical metrics (Sharpe ratio, Sortino ratio, drawdown, profit factor, etc.)
  • •Use an AI coach that analyzes trading habits and provides behavioral insights
  • •Create playbooks (strategies) with checklists and risk management rules
  • •Write notes in a notebook
  • •Participate in a community leaderboard
  • •Export reports as PDF

WARNING

Performax is NOT a broker, exchange platform, financial intermediary, or investment advisor. The Service does not provide any investment advice, buy or sell recommendations, or trading signals. Performax is exclusively a journaling and retrospective analysis tool.

3. Eligibility

To use the Service, you must:

  • •Be at least 18 years of age (or the age of legal majority in your jurisdiction)
  • •Have the legal capacity to enter into a binding contract
  • •Not be a person subject to economic sanctions or residing in a country subject to restrictions preventing the use of this type of service

4. User Accounts

4.1 Account Creation. Registration is available via email and password or through Google authentication (OAuth). You agree to provide accurate information upon registration.

4.2 Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your account. The Service offers two-factor authentication (2FA/TOTP), which we strongly recommend you enable.

4.3 Exchange API Keys. If you connect a third-party exchange platform, you provide your API keys at your own risk. These keys are encrypted (AES) in our database. We strongly recommend that you grant only read-only permissions to these keys. Performax never places trading orders on your behalf.

4.4 Account Deletion. You may delete your account at any time from the security settings within the application. Deletion results in the permanent and irreversible erasure of all your data (trades, notes, playbooks, AI conversations, profiles, subscription). If you have an active paid subscription, you must first cancel it before you can delete your account.

5. Subscriptions and Payments

5.1 Beta Phase. The Service is currently in beta. During this period, all features are available free of charge to all users. No payment is required.

5.2 Future Plans. At the end of the beta phase, Performax may offer paid subscription plans with different tiers of features. Details regarding plans, pricing, and renewal terms will be communicated prior to implementation. The introduction of paid plans will not be retroactive: you will be notified in advance and may choose to continue or discontinue using the Service.

5.3 Currency. When paid plans become available, prices will be expressed in euros (EUR), unless otherwise indicated.

6. User Content

6.1 Definition. "User Content" means any data that you enter, import, or upload into the Service, including: trades, journal notes, screenshots, playbook images, strategies, tags, annotations, and messages sent to the AI coach.

6.2 Ownership. You retain all intellectual property rights in your User Content. Performax claims no ownership rights over your data.

6.3 License Granted to Performax. By using the Service, you grant Performax a worldwide, non-exclusive, royalty-free, and time-limited license (for the duration of your account) to store, process, display, and transmit your User Content to the extent strictly necessary for the operation of the Service. This license includes the right to transmit anonymized and aggregated trading data to the third-party AI provider in order to generate behavioral analyses (see Section 9).

6.4 Aggregated Statistics. Performax may use anonymized and aggregated data for statistical purposes (e.g., total number of trades analyzed, statistics displayed on the homepage). Such data does not allow for your individual identification.

6.5 Leaderboard. If you enable your profile on the community leaderboard, certain performance statistics (ROI, Sharpe ratio, win rate, P-Score) will be publicly visible. You may disable this visibility at any time.

7. Prohibited Uses

You agree not to:

  • •Use the Service for any illegal or unauthorized purpose
  • •Attempt to access other users' data or the Service's internal systems
  • •Submit false, misleading, or fraudulent data
  • •Use bots, scrapers, or any automated means to access the Service beyond normal use
  • •Circumvent the technical limitations of the Service (AI quotas, plan limits)
  • •Resell, redistribute, or sublicense access to the Service
  • •Use the Service to manipulate markets or commit fraud
  • •Upload content that infringes the intellectual property rights of third parties
  • •Provide exchange API keys with write (trading) permissions when only read access is required

8. Intellectual Property

The Service, including its source code, algorithms (in particular the P-Score, behavioral scoring, and NAV calculation), design, trademarks, and all content created by Performax, is protected by applicable intellectual property laws.

Except for your User Content, you may not copy, modify, distribute, sell, or lease any part of the Service, nor reverse-engineer its algorithms or source code.

The Service uses open-source libraries and frameworks (React, Next.js, Radix UI, Recharts, TailwindCSS, etc.) subject to their respective licenses.

9. Artificial Intelligence — Disclaimer

9.1 Nature of AI. The Service incorporates features powered by artificial intelligence (AI coach, daily briefings, trader profile, behavioral pattern detection). These features use a third-party language model (currently GPT-4o-mini, hosted via OpenRouter).

9.2 Data Processing. To generate AI analyses, certain trading data (trades, PnL, pairs, performance metrics, behavioral data) is transmitted to the third-party AI provider. These transmissions are necessary for the operation of AI features.

9.3 Limitations. AI-generated results are provided for informational purposes only. They may contain errors, inaccuracies, or incorrect interpretations ("hallucinations"). The AI does not have knowledge of your complete financial situation, risk tolerance, or personal objectives.

NEVER MAKE TRADING DECISIONS BASED SOLELY ON AI ANALYSES.

You are solely responsible for your investment decisions. AI observations do not constitute financial advice, personalized recommendations, or an inducement to buy or sell any asset.

10. No Investment Advice

Performax is a journaling and statistical analysis tool. No content displayed within the Service — including metrics, charts, AI analyses, briefings, performance scores, the leaderboard, or risk simulations (Monte Carlo) — constitutes investment advice, a financial recommendation, or an inducement to execute any transaction.

Trading cryptocurrencies and derivative financial instruments involves a high risk of capital loss. Past performance does not guarantee future results. You should consult a qualified financial advisor before making any investment decision.

11. Service Availability

11.1 No Guarantee of Availability. The Service is provided on an "as-is" basis. We endeavor to maintain reasonable availability but do not guarantee uninterrupted or error-free operation.

11.2 Third-Party Dependencies. The Service relies on third-party providers (Supabase for data hosting and authentication, OpenRouter for AI, exchange platform APIs for trade synchronization). Unavailability of these third-party services may result in partial or total unavailability of the Service, without any liability on the part of Performax.

11.3 Beta Phase. The Service is currently in beta. Features may be added, modified, or removed at any time. Bugs or unexpected behavior may occur. We encourage you to report any issues encountered.

11.4 Maintenance. Performax may perform scheduled or emergency maintenance operations resulting in temporary interruption of the Service. To the extent possible, scheduled maintenance will be communicated in advance.

12. Termination and Suspension

12.1 By the User. You may stop using the Service at any time. You may delete your account from the security settings within the application (subject to prior cancellation of any active paid subscription).

12.2 By Performax. We reserve the right to restrict or terminate your access to the Service in the event of a breach of these Terms, fraudulent use, or conduct likely to harm the Service or its users. In such cases, we will endeavor to notify you within a reasonable timeframe, unless circumstances require immediate action (e.g., attempted hacking, manifest abuse).

12.3 Effects of Termination. Upon termination of your account, your data will be deleted in accordance with Section 4.4. Provisions of these Terms that, by their nature, must survive termination (limitation of liability, intellectual property, indemnification) shall remain in effect.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, Performax expressly disclaims all warranties, including, without limitation:

  • •Any warranty of merchantability, fitness for a particular purpose, or non-infringement
  • •Any warranty that the Service will be uninterrupted, secure, error-free, or free of viruses
  • •Any warranty as to the accuracy, reliability, or completeness of analyses, metrics, or AI-generated results provided by the Service
  • •Any warranty as to the correct and complete synchronization of trades from third-party exchange platforms
  • •Any warranty as to data preservation in the event of hosting infrastructure failure

14. Limitation of Liability

14.1 Exclusion of Indirect Damages. To the fullest extent permitted by applicable law, Performax, its officers, employees, affiliates, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including, without limitation:

  • •Financial losses resulting from trading decisions
  • •Loss of profits, data, or goodwill
  • •Damages resulting from unavailability of the Service
  • •Damages resulting from erroneous or incomplete AI analyses
  • •Damages resulting from unauthorized use of your exchange API keys
  • •Damages resulting from failure of third-party services (Supabase, OpenRouter, exchange platforms)

14.2 Liability Cap. In any event, the total liability of Performax to you, for all causes combined, shall not exceed the total amount you have actually paid to Performax during the twelve (12) months preceding the event giving rise to the claim, or fifty euros (EUR 50) if you have made no payment (particularly during the beta phase).

14.3 Acknowledgment. You acknowledge and agree that Performax is a retrospective analysis tool and not a decision-making tool. Any trading decision you make is solely your responsibility.

15. Indemnification

You agree to indemnify and hold harmless Performax, its officers, employees, and contractors from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • •Your use of the Service
  • •Your breach of these Terms
  • •Your violation of any third-party rights
  • •Your User Content
  • •Your trading activities

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of France. Any dispute relating to the interpretation or performance of these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France, subject to mandatory consumer protection rules applicable in your jurisdiction of residence.

If you are a consumer residing in the European Union, you benefit from the mandatory provisions of the law of your country of residence. Nothing in these Terms shall affect your rights as a consumer.

17. Amendments to the Terms

Performax reserves the right to amend these Terms at any time. In the event of a material change, we will notify you by email or by in-app notification at least thirty (30) days before the new Terms take effect.

Your continued use of the Service after the amended Terms take effect constitutes acceptance of the new Terms. If you do not accept the amendments, you must stop using the Service and delete your account.

18. Miscellaneous Provisions

18.1 Entire Agreement. These Terms constitute the entire agreement between you and Performax regarding the use of the Service.

18.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18.3 Waiver. The failure of Performax to exercise any right provided under these Terms shall not constitute a waiver of such right.

18.4 Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. Performax may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.

18.5 Force Majeure. Performax shall not be held liable for any delay or failure in the performance of the Service resulting from causes beyond its reasonable control, including natural disasters, infrastructure failures, cyberattacks, legislative changes, or governmental actions.
